Appendix 4G and Corporate Governance Statement
Summary
This one's a bit different to our usual updates: it's our annual Corporate Governance Statement, lodged as part of our Appendix 4G. It sets out how our board is structured and how we manage the standards ASX expects of listed companies.
The headline is that our board follows the great majority of the ASX Corporate Governance Council's recommendations. We have a board charter, codes of conduct, a whistleblower policy, a continuous disclosure policy and a shareholder communication policy, all published on our website. Our board is Doug Grewar as Managing Director, with John Anderson, Peter Swiridiuk and James Knowles as directors, and all four consider themselves independent.
Given a company our size, we don't run separate board committees for audit, risk, remuneration or nominations. Instead, the full board takes on those responsibilities directly. We've disclosed this openly, along with our reasoning: bringing in extra directors purely to staff separate committees would add cost without a matching benefit at this stage of our growth. We've also noted that a formal board performance review wasn't completed this year but is planned for the second half.
For shareholders, this statement doesn't change how the company runs day to day. It's a transparency exercise, confirming where we meet ASX governance standards in full and explaining plainly where we've taken a different, more practical approach given our size.
